Strategic Alliance Fund, LP (the "Partnership" the "Fund") is a Delaware limited partnership organized in November 2005. The Partnership is managed by its General Partner, Strategic Alliance Asset Management LLC, and was organized to provide financing to private companies that have agreed to enter into merger, share exchange or share acquisition transactions with publicly traded companies (commonly known as a “reverse merger”) or become a publicly traded company through other means such as self-filings or direct public offerings. The Partnership may also acquire a controlling interest in one or more public companies that have minimal or no definable operations at the time of the acquisition with the intent to use these public companies as a vehicle to initiate a reverse merger or business combination transaction with a private company. The Partnership’s investment focus is not industry specific and will invest in companies that meet the Partnership’s requirements for financial performance, management expertise and companies that the General Partner believes will outperform intra-industry growth rates and provide superior returns.

The Partnership may also engage in bridge capital financings of public or private companies, which are typically financings of twelve months or less, that provide interim capital to a larger financing plan or capital event. These bridge capital financings may or may not be fully secured and may, at times, exceed twelve (12) months in duration. The Partnership may, from time-to-time, invest in convertible debt instruments or convertible preferred stock of companies in order to enhance returns, provide diversification of asset classes as well as decrease risk.
The General Partner employs a series of proprietary models and utilizes a broad cross-section of investment styles, which include fundamental and technical analysis to identify investment opportunities. The General Partner also utilizes fundamental top down, bottom-up analysis with quantitative and qualitative considerations. Additional investment criteria would include: increasing earnings momentum, relative price strength, market share and other factors, such as management expertise and credibility.
